Welcome to the Gearhaus Roadtrip, Kenya’s premier automotive touring experience. By registering, paying the Entry Fee, accepting a Free Entry, or otherwise participating in any Gearhaus Roadtrip event (the “Event”), you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions of Participation (the “T&Cs”). If you do not agree with any part of these T&Cs, you must not participate.

Where the term “Gearhaus” is used, it refers to the Gearhaus brand, its organisers, and Palahala Media Group Limited, its officers, employees, agents, sponsors, and assigns. Capitalised terms have the meanings given to them in the body of these T&Cs.

1. General Information & The Event

  • The Gearhaus Roadtrip is a curated automotive touring experience. It is not a race or a competition. Participants must not compete against one another in any manner whatsoever.
  • These T&Cs apply to all participants, including registered drivers, co-drivers, registered passengers, Minor occupants (as defined in Section 6), and any individual attending under a Free Entry (as defined in Section 2).
  • These T&Cs are governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the Kenyan courts.
  • Gearhaus reserves the right to interpret these T&Cs at its sole discretion. In the event of any ambiguity, Gearhaus’s decision is final.

2. Eligibility & Registration

  • Drivers and co-drivers must be at least 18 years of age on the first day of the Event.
  • All drivers must hold a current, valid driver’s licence that is legally recognised in Kenya and in any other jurisdiction through which the route passes.
  • Participation is only confirmed once the Entry Fee has been received by Gearhaus. Until payment is received, no place is guaranteed and unconfirmed spaces may be reallocated.
  • Where a place is awarded through a raffle, competition, prize, promotional win, or complimentary allocation (a “Free Entry”), participation is confirmed once Gearhaus issues written confirmation of that Free Entry. All Free Entry participants are bound by these T&Cs in full, in the same manner as fee-paying participants. References in these T&Cs to the “Entry Fee” shall, in the case of Free Entry participants, be read as references to the acceptance of that Free Entry confirmation.
  • Gearhaus reserves the right to refuse or revoke registration to any applicant or participant, at any time and for any reason, without being obliged to disclose that reason.

3. Vehicles

  • All participating vehicles must be roadworthy, comprehensively insured, duly licensed, and fully compliant with the Traffic Act (Cap. 403) and all other applicable Kenyan law.
  • You are solely responsible for your vehicle’s maintenance, fuel, tyres, and emergency preparedness prior to and throughout the Event.
  • You must participate in the Event in the vehicle you declared at registration. Any change of vehicle requires prior written consent from Gearhaus, which may be withheld at its discretion.
  • Gearhaus accepts no liability whatsoever for vehicle damage, mechanical failure, theft, or any accident occurring before, during, or after the Event.

4. Entry Fee & Refund Policy

  • The Entry Fee is set by Gearhaus and communicated to participants at the time of registration.
  • The Entry Fee covers the named registered participant(s) only, as specified in the Entry Form. It does not cover additional passengers, support crew, or third parties, except where Minor occupants are disclosed and approved under Section 6.
  • All Entry Fees are strictly non-refundable. No partial refunds will be issued for missed segments, early departure, disqualification, or any event changes.
  • Entry places are non-transferable to future events. A transfer of your place to another individual must be requested in writing no later than 30 days before the Event and is subject to Gearhaus’s approval.
  • Personal expenses (including fuel, meals, accommodation upgrades, tolls, fines, and incidentals) are entirely your own responsibility and are not covered by the Entry Fee.

5. Unauthorised Participants

  • Only registered and accredited participants may drive or ride in participating vehicles, attend event checkpoints, official dinners, drivers’ briefings, and any other Event activities.
  • An “Unauthorised Participant” is any individual who has not paid the Entry Fee (or received a confirmed Free Entry) and is not named on the Entry Form as a registered driver, co-driver, or approved occupant.
  • Any Unauthorised Participant found to be participating in the Event in any capacity will be charged a participation fee by Gearhaus. If an Unauthorised Participant was introduced by you, that charge is payable by you.
  • Gearhaus reserves the right to remove any Unauthorised Participant from the Event immediately and without refund.
  • For the avoidance of doubt, Minor occupants disclosed and approved under Section 6 are not Unauthorised Participants.

6. Minor Occupants

  • For the purposes of these T&Cs, a “Minor” is any person under the age of 18 years, as defined under the Children Act, 2022 (Kenya).
  • Minors may attend the Event solely as passengers in a participating vehicle. A Minor may not drive, act as a co-driver, or operate any vehicle in connection with the Event under any circumstances.
  • A Minor may only attend the Event if accompanied throughout by their parent or legal guardian, who must themselves be a registered participant (a “Guardian Participant”). The Guardian Participant assumes full legal responsibility for the Minor’s safety, welfare, and conduct for the entire duration of the Event.
  • Prior to the Event, the Guardian Participant must notify Gearhaus in writing of the Minor’s intended attendance and provide the Minor’s full name and date of birth. Gearhaus reserves the right to refuse a Minor’s attendance at its sole discretion.
  • The indemnity and liability release set out in Section 14 (Indemnity & Liability Release) and Waiver Clause W3 of these T&Cs extends in full to any Minor travelling in the Guardian Participant’s vehicle. The Guardian Participant accepts all risks on the Minor’s behalf.
  • Filming and photography involving a Minor is subject to Section 11 (Photography, Filming & Media Rights). In addition, the Guardian Participant must execute a separate Minor Media Consent Form (the “MMCF”) provided by Gearhaus before the Event commences. Without a completed MMCF, Gearhaus will not knowingly include the Minor in any published, broadcast, or distributed content. However, Gearhaus cannot guarantee the complete exclusion of a Minor from incidental background footage captured in public spaces during the Event.
  • The Guardian Participant warrants that they have the legal authority to consent to the Minor’s attendance and to grant the rights described in these T&Cs on the Minor’s behalf.

7. Support Vehicles

  • Support vehicles providing logistical assistance to participants must be pre-registered with Gearhaus before the Event. Unregistered support vehicles are not permitted at checkpoints, on the route, or at any official Event activity.
  • Support vehicles must not carry any Gearhaus branding, official sponsor branding, event route markings, or team numbers of any kind.
  • Drivers and passengers of support vehicles are not recognised as Event participants. If they are seen to be participating in any Event activity, they will be treated as Unauthorised Participants and charged accordingly.
  • Gearhaus may provide logistics and transport assistance (including charter arrangements) for registered participants and their vehicles. Support vehicles and their occupants are expressly excluded from any such arrangements.

8. Safety & Conduct

  • Seatbelts are mandatory for the driver and all occupants at all times when the vehicle is in motion.
  • Participants must comply with all applicable road laws, speed limits, and the Highway Code at all times throughout the Event.
  • The consumption of alcohol, narcotics, or any other intoxicating substance while driving is strictly prohibited. Gearhaus may conduct breathalyser checks at any point during the Event. Refusal to submit to such a check may result in immediate removal.
  • Reckless driving, dangerous overtaking, racing, or any conduct that endangers fellow participants or members of the public will result in immediate removal from the Event without refund.
  • Participants must not drive while fatigued, unwell, or in any condition that impairs their ability to operate a vehicle safely.
  • Participants must treat fellow participants, support crew, local communities, and the general public with courtesy and respect at all times. Harassment, intimidation, or offensive behaviour will not be tolerated.
  • Littering, off-road environmental damage, or any conduct that harms the natural environment is prohibited.
  • Gearhaus may remove any participant for unsafe, inappropriate, or disruptive behaviour without refund and without being obliged to state a reason.

9. Insurance & Health

  • You are solely responsible for obtaining and maintaining adequate insurance for the duration of the Event, including at minimum third-party motor liability insurance and personal accident or travel insurance covering medical expenses.
  • You must disclose to your insurer that you are participating in a touring road event.
  • Gearhaus is not liable for any health incidents, medical costs, or personal injury arising during the Event.
  • Participants with medical conditions that may affect their ability to safely participate must disclose these to Gearhaus at the time of registration.
  • Protective gear (such as helmets) may be required for specific off-road or technical segments. Gearhaus will notify participants in advance of any such requirement.

10. Emergency Preparedness

  • Gearhaus will provide organisational support throughout the Event but cannot guarantee emergency or breakdown assistance in all locations, particularly in remote or low-connectivity areas.
  • Each participant is responsible for carrying adequate water, food, a first aid kit, vehicle tools, and any other items necessary for self-sufficiency.
  • Mobile network coverage may be limited along parts of the route. Participants must plan their personal safety accordingly.
  • In the event of an emergency, participants must prioritise personal safety and that of others, and cooperate fully with Gearhaus staff, co-participants, and any emergency services.

11. Photography, Filming & Media Rights

  • By participating in the Event, you grant Gearhaus a perpetual, worldwide, royalty-free licence to use your name, image, likeness, voice, and any recordings, photographs, or footage in which you appear, for any and all promotional, editorial, commercial, or marketing purposes, in any medium now known or hereafter developed.
  • You waive any claim against Gearhaus arising from the exercise of the rights granted above, including any claim for invasion of privacy, defamation, or otherwise.
  • Where a Minor is an occupant of your vehicle, the media rights set out in this Section are governed by Section 6. The Guardian Participant must complete and return the Minor Media Consent Form before the Event. No Minor will be knowingly featured in Gearhaus content without that consent.
  • You are entitled to photograph and film your personal participation in the Event for private, non-commercial use only. Commercial use of any Event-related content requires Gearhaus’s prior written consent.
  • You must not photograph, film, or distribute any content depicting road traffic accidents or other serious incidents that may occur during the Event, whether on social media, broadcast platforms, or elsewhere.
  • You must not make any public statements, press appearances, or media engagements relating to the Event without Gearhaus’s prior written approval.
  • All Event content (including route documentation, recordings, photographs, and creative output produced by or for Gearhaus) is the intellectual property of Palahala Media Group Limited. You may not reproduce, monetise, or repurpose such content without prior written consent.

12. Sponsorship, Branding & Promotions

  • You may not display any sponsor, brand, or promotional material on your vehicle or person during the Event without Gearhaus’s prior written consent, obtained no later than 14 days before the Event.
  • Gearhaus will apply an official decal pack to all participating vehicles. You agree to maintain these decals in good condition and in a visible position throughout the entire Event. You must not cover, remove, or deface them.
  • Where Gearhaus approves personal sponsorship, placement, sizing, and positioning of your sponsor’s branding will be determined by Gearhaus and communicated to you in advance.
  • Any unapproved branding discovered on a participating vehicle will be required to be removed immediately at your cost. Failure to remove it may result in exclusion from the Event without refund.
  • Sponsors appointed by Gearhaus may be granted specific branding rights communicated separately.

13. Intellectual Property & Event Copying

  • All intellectual property associated with the Gearhaus Roadtrip (including but not limited to the brand name, logos, route concepts, event format, and creative execution) is the exclusive property of Palahala Media Group Limited.
  • You must not use any Gearhaus trademarks, logos, or branding on any website, printed material, merchandise, or social media channel without prior written consent.
  • By participating, you agree not to organise, co-organise, fund, or invest in any event that seeks to replicate or derive benefit from the Gearhaus Roadtrip concept, format, branding, or goodwill. Breach of this clause entitles Gearhaus to pursue legal action on a full indemnity basis.

14. Indemnity & Liability Release

  • By registering for and participating in the Event, you irrevocably waive, release, and forever discharge Gearhaus, Palahala Media Group Limited, their officers, directors, employees, agents, sponsors, and assigns (the “Released Parties”) from any and all claims, liabilities, damages, losses, or expenses (including legal costs) arising directly or indirectly from your participation in the Event.
  • This release covers all claims whether arising in contract, tort (including negligence), statute, or otherwise, and includes claims relating to personal injury, death, property damage, economic loss, and any other legally recognised cause of action.
  • You acknowledge that participation in the Event involves inherent risks including, without limitation, road traffic accidents, vehicle failures, adverse weather, remote terrain, and the negligence of other participants.
  • You agree to indemnify and hold harmless the Released Parties against any third-party claims, actions, costs, or damages brought against them arising from your conduct or participation in the Event.
  • Where you are a Guardian Participant, this indemnity and release extends in full to any Minor travelling in your vehicle.

15. Force Majeure & Event Changes

  • Gearhaus may modify, postpone, or cancel the Event at any time due to circumstances beyond its reasonable control, including but not limited to severe weather, civil unrest, government restrictions, natural disasters, infrastructure failures, or any safety-related incident during the Event.
  • Route, schedule, or activity changes may be made by Gearhaus at any time for safety, logistical, or operational reasons. Such decisions are final.
  • In the event of cancellation or significant alteration due to force majeure, no refund of the Entry Fee will be due. Gearhaus will endeavour to communicate changes to participants as promptly as practicable.
  • If Gearhaus reasonably decides to halt the Event mid-route due to a serious incident (including participant injury or death, or an event that materially detracts from the Event), this shall be treated as a force majeure event and no refund or compensation will be owed.

16. Compliance with Law

  • Participants must comply with the Traffic Act (Cap. 403), the National Transport and Safety Authority Act, and all other applicable Kenyan law throughout the Event.
  • Participants are responsible for ensuring their vehicle, documentation, and conduct conform to all laws in all jurisdictions through which the route passes.
  • Gearhaus is not responsible for any fines, penalties, or legal consequences arising from a participant’s failure to comply with applicable laws.
  • Failure to comply with any applicable law may result in immediate removal from the Event without refund.

17. Confidentiality

You agree to keep confidential, and not disclose to any third party, details of any incidents that occur during the Event, including road traffic accidents, participant disputes, or any other sensitive matter arising during the Event.

18. Amendments to These Terms

Gearhaus reserves the right to amend these T&Cs at any time by notifying registered participants in writing. Continued participation in the Event following notification of any amendment constitutes your acceptance of the amended terms.

19. Waiver & Assumption of Risk

Please read this section carefully. It contains important limitations on your legal rights.

W1. Acknowledgement of Risk. I acknowledge and accept that participation in the Gearhaus Roadtrip involves significant and inherent risks, including but not limited to road traffic accidents, vehicle collisions, mechanical failures, adverse weather, remote terrain, physical fatigue, and the negligence of other drivers. I understand that participation may result in serious bodily injury, property damage, or death. Where I am a Guardian Participant, I acknowledge these risks extend equally to any Minor in my care.

W2. Voluntary Assumption of Risk. I voluntarily choose to participate with full knowledge of the risks involved and I accept all such risks entirely, including on behalf of any Minor for whom I am the Guardian Participant.

W3. Release of Liability. In consideration for being permitted to participate in the Event, I hereby irrevocably waive, release, and discharge Gearhaus, Palahala Media Group Limited, their officers, directors, employees, agents, sponsors, and assigns from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or in connection with my participation (and that of any Minor in my care), whether caused by the negligence of the Released Parties or otherwise. I covenant not to sue any of the Released Parties in respect of any such claim. This release does not limit or exclude liability for personal injury or death caused by the Released Parties’ own gross negligence or wilful misconduct.

W4. Indemnity. I agree to defend, indemnify, and hold harmless the Released Parties from and against any and all third-party claims, actions, suits, liabilities, damages, and costs (including legal fees on a full indemnity basis) arising directly or indirectly from my actions or participation in the Event (including those of any Minor in my care), including any breach of these T&Cs or applicable law.

W5. Severability. If any provision of this Waiver is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

20. Participant Declaration & Acceptance

A. Digital Acceptance

By completing payment of the Entry Fee, or by accepting a Free Entry confirmation from Gearhaus, you confirm that:

  • You have read and fully understand these Terms & Conditions and the Waiver set out above;
  • You voluntarily agree to be legally bound by them in their entirety;
  • You are 18 years of age or older;
  • You hold a valid driver’s licence appropriate for the Event (if you are a registered driver);
  • You have had the opportunity to seek independent legal advice before agreeing to these terms;
  • All information you have provided to Gearhaus is accurate and complete to the best of your knowledge;
  • Where you are a Guardian Participant bringing a Minor, you have the legal authority to bind that Minor to these T&Cs and have disclosed the Minor’s details to Gearhaus as required by Section 6.

Your payment or acceptance of a Free Entry constitutes a legally binding agreement between you and Gearhaus on these terms. No further signature is required for digital registrations.

B. Printed Declaration (Physical Events & Documentation)

If you register in hard copy, you will be asked to sign a printed declaration confirming your acceptance of all the terms above, including your full name, date, vehicle registration, the number of participants registered under your entry, and (where applicable) the details and Guardian Participant signature for any Minor occupant.
